Due to the expected pressure of business and so as not to inconvenience those present all proposals must be submitted to the Committee by Friday, prior to the Meeting, with name and occupation of the Proposer. All Proposals are to be headed under the appropriate article, and/or sub heading and addressed to :

No proposal submitted after the formal announcement of the Meeting shall be valid.

FEGA CONSTITUTION AND BYLAWS.
CONSTITUTION.
ARTICLE. 1.
NAME. The name of the association shall be the Film Editor's Guild of Australia.
ARTICLE II.
GOVERNING BODY.
SECTION 1. EXECUTIVE C0MMIITTEES.
The guild shall be administered by an Executive Committee composed
of elected representatives from committees of the various branches.
SECTION 2. BRANCH COMMITTEES.
The gui hall be composed of various branches administered by
Branch Committees. No more than one member of any organisation may be eligible for office.
ARTICLE. 3. OBJECTS AND POWERS. The purposes for which the guild was founded and for which it will be operated, shall be as follows:~ 1. To foster, carry on and advance the creative and physical aspects of editing, both image and sound, for motion picture, television and allied trades.
2. To maintain the status of the craft and all persons engaged therein and to give due recognition to outstanding work performed by film editors.
3. To support, protect and advance the status and interests of film editing as a vocation and profession generally and particularly of members of the Guild.
4. To permit honourable practice, to repress malpractice, to arbitrate disputed points of practice, questions of usage and etiquette.
5. To gather, receive, prepare and disseminate information concerning film and sound editing techniques for motion picture television and allied trades.
6. To consider all questions affecting the interests of the craft of film editing and to initiate, promote, watch over and consider and if necessary to petition Parliament and organise deputations in relation to measures for the protection and advancement of the craft of film editing and those engaged therein and general measures whether legislative or otherwise affecting the craft and practice of film editing and to procure and promote improvements in the methods and practices of film editing.
7. To provide for and to encourage the delivery and holding of lectures, screenings, exhibitions and conferences to advance the theory, practice and creative techniques of film and sound editing for motion picture, television and allied trades.
8. To provide, maintain, extend and improve a library or libraries containing technical literature and such other literature as may be of interest to film editors and to acquire, preserve and to the principles and practices of film editing and other matters of interest to the industry.
9. To promote information on film editing and other subjects of interest or value to film editors by lectures, discussions, books, correspondence with public and other bodies and individuals or otherwise.
10. In furtherance of the objects of the Guild to carry on business as proprietors and publishers of newspapers, journals, magazines, books and other literary works and undertakings of interest and advantage to the Guild.
11. In furtherance of the objects of the Guild, to communicate affiliate, or enter into other relations whether formal or informal, with other societies and associations having similar objects and purposes whether relating to film editing or any craft or other, activities. To subscribe to, become a member of and co operate with any such bodies and to procure from and communicate to any such bodies such information as may be likely to forward the objects of the Guild or of the craft of film editing.
12. To apply for and obtain any order, Act of Parliament or Royal Charter provisional or otherwise for enabling the Guild to carry any of its objects into effect or for effecting any modification of the Guild's constitution or for any other purpose which may seem expedient and to oppose any proceedings or applications which may seem calculated directly or indirectly to prejudice the Guild's interests.
13. To advance the creative and technical aims of subdivisions to the extent that such creative and technical aims are consistent with or conform to the purposes of the Guild.
14. To do everything and anything reasonable or lawfully necessary proper or advisable for the attainment of the above purposes or for any of them or for the furtherance of any or all such purposes.
15. The Guild, in order to foster its creative and technical aims as herein provided, shall have the power to own, acquire, purchase, accept gifts, hold as trustee or otherwise, maintain, improve, mortgage, sell lease or dispose of real and personal property and to obtain, invest, reinvest and use funds and properties of any kind to advance the creative and technical aims of the Guild.
16. To accept in the name of the Guild or hold as trustee or otherwise any gift of money or property or the income thereof of one or more limited purposes within the scope of the general purposes of the Guild as stated herein;
17. To have all powers of any corporation organized for creative and technical purposes under the laws of the Commonwealth of Australia to the extent not inconsistent with the purposes and powers of the Guild as herein provided.
18. The Registered Office of the Guild will be situated in any place in Australia as the Executive Committee or governing body of the Guild shall determine.

ARTICLE 4V. Restrictions. The Guild shall have no capital stock. No part of income or property of the Guild shall inure to the private benefit of any of its members, officers or any private shareholder or individual.
ARTICLE V
Disposition of Assets and Dissolution
Upon the liquidation, winding up or dissolution of the Guild, whether voluntary or involuntary, and after payment of all indebtedness of the Guild, the funds, investments and other assets of the Guild shall be given and transferred as the Executive Committee may determine, to some other non profit organization having objects similar to those of the Guild. The selection of such other organization shall be made by majority vote of all members of the Executive Committee at a meeting of said Committee called for the purpose of selecting such an organization.
ARTICLE VI
Regular Meetings.
See. 1 EXECUTIVE COMMITTEE MEETINGS
There shall be an Annual Meeting of the Executive Committee at such time and place as may be fixed by the Executive Committee, and other meetings of the Guild shall be called as provided in the By Laws.
See. 2 BRANCH COMMITTEE MEETINGS
There shall be a meeting of each Branch Committee held at least quarterly.
Sec. 3 BRANCH GENERAL MEETINGS
There shall be a General Branch Meeting held at least quarterly at such time and place as may be fixed by each branch committee.
See. 4 EXTRAORDINARY MEETINGS
Whenever the members of the Guild by majority vote at either a meeting or by letter ballot shall declare that by reason of any rule, regulation or for any cause, it is in the interest of the Guild to hold a General Meeting then such a meeting shall be required to be held under this Constitution and these By Laws and the Executive Committee shall fix a date by which members of the Guild shall vote by letter ballot. The voting period of such letter ballot shall be 30 days ending on the date fixed as above for voting by letter ballot and the date upon which the voting period expires shall be deemed to be the date of that meeting within the meaning of the Constitution and By Laws.
ARTICLE V11
Membership
See. 1. ELIGIBILITY FOR ME14BERSHIP
Any individual qualified in the manner prescribed in the By Laws, shall be eligible for membership in the Guild, and shall be admitted to membership in the Guild and shall be admitted to membership under such terms and conditions as may be prescribed in the By Laws.
See. 2 RIGHTS AND PRIVILEGES
All members shall exercise and enjoy such rights as the Constitution and Bylaws of the Guild may from time to time prescribe.
Sec. 3 DUES
Members shall pay such dues and assessments as the Constitution and By Laws may prescribe

See. 4 NOMINATION OF CANDIDATES FOR BRANCH COMMITTEE
Names of accepting candidates for office in the Branch Committee shall be delivered to the Sitting Branch Committee prior to the second quarterly Branch Meeting. Election of candidates shall be by plurality of vote at the second Quarterly Meeting and in the case of a tie, the choice shall be decided by lot. The elected officers shall take office on July lst.
See. 5 FILLING OF VACANCIES
Whenever a vacancy shall occur in the Executive or Branch Committees other than that of President or Chairman, the remaining Committee members may, by the affirmative vote of a majority of them, elect an individual to fill such a vacancy. Individuals so elected shall serve for the unexpired term of their respective predecessors.
See. 6 MEETING AND QUORUM
At least two weeks notice of the time and place of all regular meetings shall be sent to the members. Special meetings may be called at any time by the Branch Chairman upon at least 7 days notice. At each meeting of the Branch Committee four members shall constitute a quorum.

ARTICLE V111.
Officers
Sec. 1. EXECUTIVE Committee
Sub sec. A President
The President shall preside at all meetings of the Executive Committee and shall be the executive head of the Guild.
Sub sec. B Substitute
Daring a period of absence or temporary incapacity of the President, the Vice President shall perform and have the duties and powers of the President.
Sub sec. C Past President
The Past President shall serve primarily in an advisory capacity to the other officers of the Guild. He may be requested to assume other duties for which his experience in Guild affairs may make him particularly suited.
Sub sec. D Treasurer
The Treasurer shall have custody of the funds and assets, and shall keep proper books of account, and shall have access to all such books held by Branch Treasurers.
Sub See. E Secretary
The Secretary shall be responsible for the maintenance of a membership roster. The Secretary shall be notified and keep a record of all meetings of the Guild. The Secretary shall perform such other duties as may be required by the By Laws or specified by the Committee.
5 Sec. 2 BRANCH COMMlITTEE
Sub sec. A Chairman
The Chairman shall preside at all meetings.
Sub sec. B Substitute

Sub See. C Treasurer
The Treasurer shall have custody of the funds and assets, and shall keep proper books of account.
Sub sec. D Secretary
The Secretary shall be responsible for the maintenance of a branch membership roster. The Secretary shall keep a record of all meetings of the Guild. The Secretary shall perform such other duties as may be required by the By Laws or specified by the Branch Committee.
ARTICLE IX
Administrative Practices
Special rules relating to the administration of the Guild and known as Administrative Practices shall be established by the Executive Committee and shall be added to or revised as necessary to the efficient pursuit of the Guild's objectives.
ARTICLE X
Dues and Indebtedness
Sec. 1 DUES
The annual dues shall be $10.00 for Members and Associate Members and $5.00 for Provisional and Student Members.
Sec. 2 PAYMENT OF DUES
All annual dues shall be paid immediately on acceptance.
See. 3 FAILURE TO PAY DUES
Failure to pay dues may be considered just cause for suspension.
ARTICLE Xl
Publications
The Guild may publish such books, pamphlets or other publications as may further the objectives of the Guild.
ARTICLE X11
Amendments
Proposed amendments of the Constitution and Laws must be passed by a majority vote of all members of the Guild before submission to the Executive Committee for ratification. Proposed
amendment or amendments then become part of the Constitution or By Laws upon receiving ratification of the Executive Committee.

BY LAWS
ARTICLE 1. Membership
Sec. 1 MEMBERSHIP GRADES
The membership of the Guild shall be as follows:Member. Provisional, Student, Associate, Honorary, Life, and Retired Member.
Sec. 2 QUALIFICATIONS
Individuals qualified in the manner hereinafter prescribed are eligible for Membership.
Sub Sec. A Member
An individual who meets the qualifications set forth in the following paragraphs:
Paragraph 1.
An editor, pictorial or sound, engaged in the motionpicture television or allied trade who has performed or been responsible for creative editing therein for period of at least two years and for three years previously has been engaged in the film industry.
Paragraph 2. An individual who at least for two years has had under his direction, a film editorial department and in otherwise qualified for the direct supervision of editorial staff in the Motion Picture Industry.
Paragraph 3. An individual who has been employed as a camera editor or director editor but whose duties consist of at least 50% film editing.
Sub See. B Provisional
An individual who has been employed as an assistant editor of a Film Editor for a period less than three years.
Sub See. C Student
An individual under 21 years of age, who is employed as an assistant Editor in the motion picture, television, and allied trades.
Sub See. D Associate
An individual who shall be invited by a Branch Committee to join the Guild.
Sub See. E Honorary
An individual who has made a distinct contribution to the advancement of creative film editing or has contributed to the technical literature thereof. Honorary membership can be bestowed upon an individual at the discretion of the Executive Committee.
Sub See. F Life Member
A member can be recommended by the Executive Committee for election as a Life Member of the Guild for outstanding contribution to the Guild or the Film Industry.
Sub See. G Retired Member
A retired member shall be a member of 5 years or more in the craft of film editing who has retired from active employment in the craft.
See. 3 APPLICATION FOR MEMBERSHIP
Application for membership shall be made on forms provided for that purpose. Applicants for membership shall state

See. 4 ELECTION OF MEMBERSHIP
Sub See. A Member
Upon determination by the Branch Committee that an applicant meets the qualifications set forth in Sub Sec. A of See. 2 hereof and approval of his application, the applicant shall become a Member of the Guild. Any application upon which the Branch Committee takes adverse action shall be referred back to the applicant with the reasons for any such action Life and Honorary Membership shall be approved only by the Executive Committee.
Sub See. B Provisional
Upon determination by the Branch Committee that an applicant meets the qualifications set forth in Sub Sec. B of See. 2 of this Article and upon approval of his application the applicant shall become a Provisional Member of the Guild.
Sub Sec. C Student
Upon determination by the Branch Committee that an applicant meets the qualifications set forth in Sub Sec. C. of See. 2 of this Article and upon approval of his application, the applicant shall become a Student Member of the Guild.
Sub See. D Associate
Upon determination by the Branch Committee that an individual meets the qualifications set forth in Sub See. D of Sec. 2 of this Article, the individual shall become an Associate Member of the Guild.
Sub Sec. E Honorary
Upon determination of the Executive Committee that an individual meets the qualifications set forth in Sub See. E of See. 2 of this Article, the individual shall become an Honorary Member of the Guild.
See. 5. VOTING RIGHTS
Each member of the Guild in the Member Grade shall be entitled to one vote on any matter presented to the Membership and shall be eligible to hold office. Members of the Guild in Student, Provisional, Life and Honorary Grades are not entitled to vote on any matter presented to the Membership. Members of the Guild in Student, Provisional, Life and Honorary Grades are ineligible to hold office in the Guild.
Sec. 6 TERMINATION OF MEMBERSHIP
Sub See. A Resignation
Resignation of all members shall be made in writing and shall be acted on within 30 days of receipt of said resignation and payment of all outstanding dues.
Sub See. B Suspension and Termination of Membership for Non Payment of Dues
In the event that any Member shall fail to pay dues by the end of the third month from the due date, the membership of such a person in the Guild shall automatically be suspended. Suspension of membership results in the forfeiture of all membership rights and privileges. Such suspensions shall be revoked automatically and all member~ ship rights and privileges restored, upon payment by any such suspended member of all dues in arrears provided that they are paid within one calendar year from. the due date.
3 BY LAWS ARTICLE 1 MEMBERSHIP
See. 4 Election of Membership
Sub Sec. C Expulsion and Reinstatement
Any member may be expelled for just cause, other than nonpayment of dues. Expulsion may take place upon the vote of the entire membership of the Executive Committee, after an opportunity to be heard before the Committee shall be granted to such member. No accused or accusing person shall be entitled to vote on the question of any such expulsion. Any former member whose membership has been terminated pursuant to this sub section may be reinstated upon application made to the Executive Committee upon approval by the vote of a majority of the entire membership of the Branch concerned.
ARTICLE 11 Meetings of the Branch
See. 1 ANNUAL BRANCH MEETING An annual meeting of the Branch shall be held at such time and place as may be fixed by the Branch Committee. The notice of the annual meeting of the Branch shall be mailed at least 30 days prior to the meeting.
See. 2 OTHER MEETINGS Other meetings of the Branch may be called at any time by the Branch Committee. An extraordinary meeting of the Branch may be called at any time upon the written request of at least 11 members of the Branch
Sec. 3 NOTICE OF BRANCH MEETINGS Notice of the time, place and business to be conducted at such meetings of the Branch, shall be mailed by the Secretary to each member of the Branch at his last known address appearing on the books of the Branch. The notice of meetings shall be at least 14 days prior to the meetings.
See, 4 QUORUM Eleven of the members of the Branch entitled to vote on matters presented to the membership shall constitute a quorum at all meetings of the Branch.
ARTICLE 111 Executive Committee
Number and Term of Office
The Executive Committee shall consist of President, Vice President, Secretary, Asst. Secretary, Treasurer, and four committee members who shall be Members of the Branches, each of whom shall be elected for a term of one year. The Branch Committees shall be responsible for the election of officers for the Executive Committee.
ARTICLE 1V Branch Committee .
Number and Term of Office
The Branch Committee shall consist of Chairman, Secretary, Treasurer and four committee members who shall be elected for a term of one year.
ARTICLE V. Committees
See. 1 MANAGEMENT The Management of the Guild shall be vested in the Committees elected in the manner prescribed in the By Laws.
See. 2 SUB COMMITTEES The Branch Committee shall appoint such sub committees as it may determine; all such sub committees shall, be responsible to the Branch.
ARTICLE V. Voting,
Sec 1 Procedure
Sub sec, 1. Proposals
Proposals may be submitted to the Committee by a member of the Committee or may be proposed to the Committee by any member of a voting ???
Sub sec 2, amendments to the Proposals
All amendments to the proposal must be seconded. The amendment if carried becomes part of the proposal
Sub sec, 3, Discussion
Discussion on either the ,)ro ,)osal or the amendment shall be limited to two minutes or at the discretion of the Chairman.
Sub sec 4, Voting.
All such voting shall be by plurality of vote.
